Terms of Service

Short version: Wallyy is a tool. You sign in, you bring your prospects, you connect your mailbox, and you stay responsible for the messages we send on your behalf. Spam and abuse get accounts terminated. We don't guarantee outcomes — outbound results depend on you, your offer, and your list.

1. Agreement

These Terms of Service ("Terms") form a binding agreement between you and Wallyy ("we", "us") governing your access to and use of the Wallyy service at wallyy.com (the "Service"). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility & account

You must be at least 18 years old and able to enter into a binding contract to use Wallyy. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at legal@wallyy.com if you suspect unauthorized access.

3. The Service

Wallyy is an outbound execution layer. It helps you organize prospects, draft outbound messages (some of which may be AI-generated), send those messages via a mailbox you connect (Gmail or Microsoft Outlook), and manage replies. We may add, change, or remove features at any time. We will give reasonable notice for material changes that reduce functionality on paid plans.

4. Your responsibilities & acceptable use

You are the sender of every message Wallyy transmits on your behalf. That means:

  • You must have a lawful basis to contact each recipient under all applicable laws — including the CAN-SPAM Act (US), CASL (Canada), GDPR / ePrivacy (EU/EEA), the UK GDPR, and any other rule that applies where your recipients live.
  • Every message you send through Wallyy must include accurate sender information, a meaningful subject line, and a working unsubscribe mechanism where required by law.
  • You must honor unsubscribe requests promptly (we mark prospects as opted-out automatically when an unsubscribe is detected).
  • You must not use Wallyy to send malware, phishing, scams, spam, harassment, hate speech, sexually explicit material to recipients who have not consented, or anything illegal where you or the recipient lives.
  • You must not attempt to bypass mailbox provider rate limits, reverse-engineer the Service, or interfere with other users.
  • You must not upload prospect lists you don't have a right to use (e.g. scraped data subject to a contractual prohibition, or breached/leaked data).

We reserve the right to suspend or terminate accounts that, in our judgment, violate these rules. We may cooperate with mailbox providers (Google, Microsoft) and law enforcement on abuse investigations.

5. AI-generated content

Wallyy uses third-party AI models (e.g. OpenAI, Anthropic) to generate draft emails, classify replies, and produce recommendations. AI output may be inaccurate, biased, or unsuitable for your situation. You are responsible for reviewing every AI-generated message before sending it and for the consequences of any message sent from your connected mailbox, whether you authored it or accepted a draft.

6. Payments, subscriptions & refunds

Billing

Paid plans are billed monthly or annually in advance through Stripe. Your plan auto-renews at the start of each billing period at the then-current rate. By subscribing you authorize Stripe to charge your payment method on each renewal until you cancel.

Cancellation

You can cancel at any time from Settings → Billing. Cancellation takes effect at the end of your current paid period. After cancellation you retain access until the end of the period; we do not pro-rate refunds for unused time on monthly plans.

Refunds

All payments are non-refundable except where required by law. If you believe you were charged in error, email legal@wallyy.com within 14 days of the charge and we will review the request in good faith.

Price changes

We may change plan prices with at least 30 days' notice. If you don't accept the new price you may cancel before it takes effect.

Taxes

Prices are exclusive of sales tax, VAT, or other taxes unless stated otherwise. You are responsible for taxes applicable in your jurisdiction.

7. Intellectual property

Your content stays yours. You retain all rights to the prospects, messages, lists, and other content you upload or generate using Wallyy. You grant us a non-exclusive, worldwide, royalty-free license to host, transmit, process, and display your content solely to operate the Service for you.

Our IP stays ours. The Wallyy software, brand, UI, documentation, and aggregated analytics are owned by us. You may not copy, resell, redistribute, or create derivative products of Wallyy without our written permission.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that messages sent through the Service will be delivered, that replies will be ingested without latency, or that AI-generated content will be accurate or appropriate. Outbound results depend on factors outside our control (your offer, your list, deliverability, your mailbox's sending reputation).

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WALLYY, ITS OPERATORS, OR ITS SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).

Some jurisdictions don't allow the exclusion or limitation of certain damages; in those jurisdictions the limitations above apply only to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Wallyy and its operators from any third-party claim, loss, or expense (including reasonable attorneys' fees) arising out of (a) your use of the Service, (b) the content you upload or send through the Service, (c) your violation of these Terms, or (d) your violation of any law or third-party right (including the rights of the people you message).

11. Termination

You may delete your account at any time from Settings. We may suspend or terminate your account if you breach these Terms, abuse the Service, or for legal or security reasons. On termination, your right to use the Service ends immediately and we will delete or anonymize your data as described in the Privacy Policy.

12. Governing law & disputes

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Service will be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you consent to personal jurisdiction there.

13. Changes to these Terms

We may update these Terms from time to time. For material changes we will notify you by email or an in-product banner before the change takes effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
